Dear  Sir:-
I  enclose herewith duplicate  power of  attorney
(regarding  the  North  Carolina  property)   arid  agreement   between Mrs.  Heloise  H.  Durant,  Miss Heloise H. Durant and
William W. Durant  heirs of Thomas  C.  Durant  executed by Mrs
Heloise H. Durant  and  William W.  Durant and  will endeavor
to procure the execution of the  same by  Miss Heloise  H.
Durant.  They  are sent to you with the understanding and
agreement that you and Mr  R. E.  Cochrane shall execute the
same and return one of the copies to me at 45 Broadway  N. Y.
City and  that you will  also have  a  properly  certified notorial copy made  of  the power of  Attorney and contract  heretofore   given  to you  by  the  executor of  C.  W.  Durant and administrator of Thomas C.  Durant covering the Lemond Mining
Property in North Carolina, which you will send to me to the
same  address .
