estates and interests conveyed or granted by the said deed in and to or concerning the lands therein described, and all other rights, franchises and priveleges, ways, woods, rights and estates by said deed given, granted or conveyed. The said attorney is hereby empowered to sell at public or private sale for cash or on credit and in such manner and way, and upon such terms as to him may seem best, any or all of said lands, mineral interests, estates, rights, and privileges, the proceeds to be held by him, and disbursed as hereinafter directed. In the execution of the powers hereby conferred and granted, the said attorney may bring and prosecute or defend, in the name and behalf of the constituents all necessary and proper suits, actions or proceedings in any Court of North Carolina, or in any Court of the United States having jurisdiction in North Carolina, with full power to employ counsel learned in the law to assist them in the prosecution and defence of said suits and proceedings, or in the execution of his powers; the said Attorney shall also have the power to employ or substitute other Attorneys in fact or Agents to assist in the execution of the powers hereby granted and they are empowered to submit to arbitration, compromise or adjust any and all matters of dispute or controversy concerning said lands or mineral interests, rights, etc., acquittances, discharges and releases, and generally they shall have all powers which the constituents might have and exercise if personally present acting in the premises-. The powers herein conferred and granted are so given and granted upon the express understanding and condition that the said constituents are in no way and in no event to be liable for any costs or expenses paid or incurred in executing the powers hereby granted, but the same are to be borne by the said Attorney, R.E. Cochrane, with this further understanding and agreement that the said R.E. Cochrane may retain all costs and expenses incurred by him and all disbursements made out of the proceeds of the sale of the said lands or mineral interests or
