This agreement made the Nineteenth day of December 1857 by and between Thomas C Durant of the City of Brooklyn State of New York, party of the first part, and Davis P Whedon of the City of New York party of the second part Witnesseth That the said party of the first part in consideration of the premises herein after expressed and of One dollar in hand paid the receipt of which is hereby acknowledged, agrees to sell and does hereby sell unto the said party of the second part all that certain piece or parcel of land situated in North Carolina in the County of Guilford, Known and called the Lindsay Mining Property, together with all the Buildings, Machinery Whim Horses, Mules, Tools, Furniture belonging to the property, Ore on the surface. Except the Copper Ore Barrelled and all the property now on the aforesaid premises and belonging thereto, for the sum of Sixteen thousand dollars to be paid as follows One Bond & Mortgage made by the party of the second part payable Six months from the first day of January 1858, for, Five thousand three hundred & thirty three 33/100 Dollars One Bond & Mortgage, Ten thousand six hundred & sixty six 67/100 Dollars, payable one half in one year from January 1st 1858 and the other half in Eighteen months from the first day of January 1858, with Interest on each of said mortgages, annually The said party of the second part agrees to form a Stock Company for the purpose of working said mine, with a Capital of not less than One Hundred & fifty thousand dollars, within days after taking possession of said property and transfer and deliver One fourth of all said Stock to the party of the first part for the balance of said purchase money It is further mutually agreed that the aforesaid parties shall convey one third of all the said Stock to the Treasury of said Company for a working
