For a valuable consideration to me in [illegible]. I hereby assign unto [illegible] fifth 1/5 interest in a certain contract of date Nov 10. 1866. made with one L. B. B[illegible] for the construction of one hundred and fifty miles of Union Pacific Rail Road and by [illegible] assigned to the undersigned on the 20th of November A.D. 1866. (Stamp) I hereby bind myself, Heirs & Executors to pay over (?) of which is known & (?) the and [illegible] upon settlement of what is known & recognized as the [illegible] contract the [illegible] one fifth of any & all profits which may benefit hereafter be ascertained on the final settlement of service agreement. In witness whereof I here on this day of AD in the City & State of New York affixed my hand and Seal. Witness, Wm H Vail N.A. Gesner [illegible] N.A Gesner
