Know all men by these presents, That the Mississippi and Missouri Rail Road Company for and in consideration of One dollar to them in hand paid by Thomas C. Durant and Henry Day, and for other good and valuable considerations them thereunto moving, do hereby nominate constitute and appoint said Thomas C. Durant and Henry Day their lawfull Agents and Attorneys irrevocable; for them and in their venue to take charge of all their Railroad situtate in the State of Iowa made and to be made, with the track, grounds, stations, turnouts, rights of way, cars, engines, shops, machinery, furniture and rolling stock of said Company, appertaining to or used with or intended for use with said railroad, as well now owned and held by said Company, from the day of the date hereof for the full term of two years next following; And do also Authorize and Empower said Attorneys to take possession of the same forthwith, and by such Agents or servants as they may appoint to run, operate and work said Railroad and other property for and during said term, and take and receive the fares, freight, toll Earnings and income of said Road from first July Eighteen hundred and Sixty two to January first Eighteen hundred and Sixty four after deducting and paying all ordinary and proper Expenses incurred in operating and keeping in repair said Road, rolling Stock and building during the time last above specified, (and the interest due and falling due, within that time on the Income Bonds of said Company, to be issued in pursuance of the mutual Agreement in writing between said Company and certain of the holders of its Bonds bearing date the first day of July now last past;) and said Attorneys shall apply the net residue to the payment of such sums as may become owing hereafter to said Durant by said Company during said term of time upon his Contract with said
