Know all men by these Presents: That I William F. Durant have made, constituted and appointed [name?] true and lawful attorney and proxy for me and in my name, to vote at the next annual meeting of the Stockholders of the Union Pacific rail Road Company for the election of Directors and on any other business that may come before the Stockholders, as full as i might or could do, were I personally present at such meeting, upon all the Stock on which I am entitled to vote at the time of such meeting hereby revoking all former Proxies.
