Whereas H M Hoxie Esqr of the State of Iowa has a certain Contract bearing date the Eighth day of August 1864 for the construction of a portion of the Road of the Union Pacific Rail Road Company, which Contract the said Hoxie has agreed to assign to Thos C. Durant Esqr of the city of New York or to such party or parties as he may designate by agreement bearing date the thirtieth day of September 1864 the terms of which assignment forms a part of this agreement. Now therefore we the undersigned hereby agree to take an interest in the said Contract to the extent set opposite our respective names, depositing at the same time in the hands of said Thos C Durant twenty five per centum in cash on the interest so subscribed, and the parties hereto agree one with the other that should default be made in payment of the balance of the interest so subscribed, as required, the party so defaulting shall not be entitled to any
