New York May 12th 1855. Mess, Henry Farnam & Thos. C. Durant- now at New York. Gentl. In accordance with our verbal understanding we hereby sell you One thousand (1000) Tons Rail Road Iron of the Eric pattern to weigh from 58 to 59 pounds a lineal yard of the usual length. We agree to procure the shipment of the Iron from Great Britain to New York with all practicable despatch, if possible before the 15th of July next. Price of the Iron to be fifty five (55) dollars per ton of 2240 lb delivered in New York.- Payments to be made as follows: On the arrival of each Invoice at New York you are to enter the same at Custom House & pay the freight & pay or become liable to the United States for the duty thereon which amounts of freight & duty we will credit you with as payments on accounts & for the balance that may be due on each Invoice you are to give us the acceptances of T. C. Durant of Henry Farnam's drafts endorsed one half of the Amount by Thos . E. Shefield & one half of the amount by Clark Durant Esqre. or other satisfactory endorsers or Securities, said Acceptances to be made payable in New York at Six months from the arrival of each Invoice with Interest added at the rate of seven per cent per annum. Should any of the Iron be lost while in transition between Great Britain & New York, we are not to be held liable to replace the same except by future Agreement between us, to be entered into on receipt of intelligence of such loss
